Terms of Service
Effective Date: July 8, 2026
This End User License Agreement ("Agreement") is a binding legal contract between you ("User" or "you") and Splirg ("Company," "we," or "us"). By downloading, installing, or using the Splirg application (the "App"), you agree to be bound by the terms of this Agreement. If you do not agree, do not use the App.
1. Scope of Service
Splirg is a platform designed to facilitate real-life meetups between individuals. Splirg provides the technology to enable connections but does not organize, host, supervise, or control the events or interactions that occur between users. You acknowledge that we are not a party to any agreements or arrangements made between users.
2. Eligibility
You must be at least 18 years of age to create an account or use Splirg. By creating an account, you affirmatively represent and attest that you are at least 18 years old. Except where an identity-verification feature is explicitly used, Splirg relies solely on this attestation and does not independently verify your age. Misrepresenting your age is a material breach of this Agreement and grounds for immediate termination of your account. By using the App, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions.
3. Assumption of Risk and Release of Liability
3.1 Assumption of Risk
YOU ACKNOWLEDGE THAT PHYSICAL MEETUPS WITH STRANGERS INVOLVE INHERENT RISKS, INCLUDING BUT NOT LIMITED TO PHYSICAL INJURY, PROPERTY DAMAGE, THEFT, EMOTIONAL DISTRESS, OR DEATH. YOU VOLUNTARILY AND FREELY ASSUME ALL RISKS, BOTH KNOWN AND UNKNOWN, RELATED TO YOUR USE OF SPLIRG AND YOUR INTERACTIONS WITH OTHER USERS, WHETHER ONLINE OR OFFLINE.
3.2 Complete Release
YOU HEREBY RELEASE, ACQUIT, AND FOREVER DISCHARGE Splirg, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, CAUSES OF ACTION, OR DAMAGES OF ANY KIND OR NATURE, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR INTERACTIONS WITH OTHER USERS. THIS INCLUDES, WITHOUT LIMITATION, ANY DISPUTES OR INCIDENTS OCCURRING BEFORE, DURING, OR AFTER A MEETUP FACILITATED BY SPLIRG.
4. User Responsibility and Conduct
4.1 No Background Checks
YOU ACKNOWLEDGE THAT SPLIRG DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR VERIFY THE STATEMENTS OF ITS USERS. WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS.
4.2 Sole Responsibility
You are solely responsible for your interactions with other users. You agree to take all necessary precautions when meeting individuals in person, including following safety guidelines provided within Splirg or by local authorities.
4.3 Prohibited Conduct
You agree not to use Splirg for any illegal purpose, harassment, stalking, solicitation, or any behavior that violates the safety or rights of others. We reserve the right to terminate your access for any violation of these standards.
5. Indemnification
You agree to indemnify, defend, and hold harmless Splirg and its affiliates from and against any and all complaints, demands, claims, damages, losses, costs, liabilities, and expenses (including attorney's fees) due to, arising out of, or relating in any way to your access to or use of Splirg, your conduct in connection with other users, or your violation of this Agreement.
6. Disclaimers and Limitation of Liability
Splirg is provided on an "AS IS" and "AS AVAILABLE" basis. Splirg disclaims all warranties, express or implied. In no event shall Splirg be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the App.
7. Governing Law and Dispute Resolution
7.1 Governing Law
This Agreement shall be governed by the laws of the State of Michigan, without regard to its conflict of law provisions.
7.2 Arbitration
Any dispute arising from this Agreement shall be settled by binding arbitration in Ann Arbor, Michigan. You waive your right to participate in a class-action lawsuit or class-wide arbitration.
8. Amendments
We reserve the right to modify this Agreement at any time. Your continued use of Splirg following any changes constitutes your acceptance of the new terms.
